The Role of the Baghaei-Jouybari Family Corruption Network at the Head of Rojan Sanat Company

The Baghaei-Jouybari family corruption network, focusing on Rojan Sanat Company, has expanded suspicious activities in oil and petrochemical contracts by creating family management structures, paving the way for large transactions and changes in suspicious financial commitments. This network, with extensive connections in various consortia and companies, has played a significant role in changing prices and commitments after the selection of contractors, necessitating a thorough review of individuals' responsibilities and financial transactions.

The Role of the Baghaei-Jouybari Family Corruption Network at the Head of Rojan Sanat Company

Information about Afshin Baghaei, Chairman of the Board of Directors of Rojan Sanat Alborz Company, indicates the expansion of corruption in this oil and petrochemical contractor. This information includes money transfers to a foreign account of one of the contracting managers and investments in Canada. Reviewing the company's registration information and contracts reveals a specific structure of managers, signatories, and large transactions. To understand the dimensions of this case, focus must be placed on individuals' responsibilities, payment paths, and contract assignments to determine how the Baghaei couple and his wife Shabnam Motavali Jouybari managed to place a small company at the heart of suspicious catalyst contracts from Marun to Shazand and Razi petrochemicals and participate in the Gener consortium alongside Mohammad Ali Fatemi in the development contract of phases one and two of Bandar Abbas refinery.

According to the changes announced on Rasmio, Afshin Baghaei is the Chairman of the Board, Rasoul Motavali Jouybari is the CEO and a board member, and Jafar Ghaffari is the Vice Chairman. This combination was selected for two years based on the minutes of April 7, 2025. Baghaei's position as Chairman of the Board follows the same pattern of other family corruption networks where key figures avoid executive roles as CEO, hiding behind the title of Chairman to reduce their legal and judicial responsibilities.

Family Activities and Management Structure

The family activity becomes meaningful when we know the current CEO of Rojan Sanat is a close relative of Baghaei's wife. The same surname Rasoul Motavali Jouybari shares with Shabnam Motavali Jouybari, Baghaei's wife, is evident in a cycle of other companies. Baghaei, along with his wife Shabnam Motavali Jouybari, has a joint presence in Segal Sanat Pasargad Company. In this company, Rasoul Motavali Jouybari is the Chairman of the Board, and Baghaei holds the position of CEO. Baghaei is also registered as a board member of Parin Axis. In this company, Rasoul Motavali Jouybari is the Vice Chairman, repeating the same pattern of intertwined family satellite companies similar to the network of Mohammad Ali Fatemi and other corruption figures in the country's energy industry.

Rojan Sanat was established on May 25, 2003, and its registered capital is now 175 billion tomans. The increase in registered capital in August 2024 was made from settled claims. This amount is not equivalent to the personal profit or assets of the managers, but reviewing financial statements and the origin of claims converted into capital is important for understanding the company's financial structure.

In the Rasmio contracts section, the purchase of RCD catalyst for Shazand refinery with a registered value of about 265 billion tomans and the purchase of catalyst for Abadan oil refinery with a value of about 165 billion tomans are seen. The total of these two contracts is close to 430 billion tomans. It must be clarified which company was the main producer, at what price the goods were purchased, and what the share of brokerage, services, and ancillary costs was.

Gener Participation and Connection with the Fatemi Circle

The company's range of activities extends from industrial cleaning and waste management to catalyst unloading and loading, major repairs, and equipment supply. A previous report by Feydus named Marun, Pars, Fanavaran, and Bandar Imam among the complexes where the company operates. Regarding Marun, Feydus previously claimed the purchase of over 120 million dollars of catalysts through Rojan Sanat. This amount is the transaction value that, with the collusion of Amin Amraei, involved major corruption benefiting Amraei and his partners.

Rojan Sanat's presence in the Bandar Abbas refinery development project links the matter to the 'Gener' consortium; a consortium consisting of Enerchimi, Jundi Shapur, Nardis, and Rojan Sanat. Feydus's report on September 29 introduced Mohammad Ali Fatemi as the main shareholder of Enerchimi and attributed the dominant role of heavy equipment purchases to this company and the site execution mainly to Jundi Shapur. The mentioned connection with Fatemi is collaboration within this contractual structure.

The axis of corruption in this case is the change of commitments and prices after the contractor selection: Gener's 722 million euro proposal, the removal of five compressors, and the increase in the SDA unit price from about 36 to 98 million euros. Additionally, a 620 million euro prepayment and attempts to change the technical path of the second phase from coking to RFCC have been raised. These are Feydus's published claims; Rojan Sanat's specific responsibility in each case is unclear without participation contracts and clear financial documents.

Baghaei, as the main owner of Rojan Sanat, must explain with what share and commitment he entered Gener, what amounts he received, and which equipment or services he provided. The description of the company's presence as 'cover' must also be assessed with work division and financial turnover. Membership in the consortium alone does not prove corruption, but it creates the responsibility to answer for the benefits and contractual performance.

According to received information, Baghaei and his wife Shabnam Jouybari have purchased multi-million dollar properties in Toronto and are involved in construction with partners. Sources close to this family network have stated that during a contract with Mes Sarcheshmeh in 2009, tens of thousands of dollars were transferred to an account in Austria, attributed to one of the contracting managers, which was the axis of this apparent crime by Baghaei.

In the company's announcement, the validity of binding documents is dependent on the signature of two board members or one member along with Mahtab Pourmousa, the financial manager. This official path should be the basis for reviewing transactions. Accountability is meaningful with the publication of the contract, status report, and payment document. Rojan Sanat managers and employers cannot expect serious claims to be dismissed merely by introducing the company's technical capabilities; revealing the truth requires reviewable documents.
